摘　　要：基于对公司治理本质的认识将公司治理应解决的问题划分为社会层、组织层和个体层三大层次,本文探讨了公司伦理在解决各层次的公司治理问题中的效用,分析了公司伦理在公司治理中从约束性效用到工具性效用再到价值性效用的演化攀升过程,建议通过建设公司治理的伦理机制提升公司道德水平,改善公司治理。This paper divides corporate governance into social,organizational and individual levels,explains the roles that corporate ethics play in settling corporate governance issues in all the three levels based on recognition of essence of corporate governance,analyzes the evolution of the roles of corporate ethics in corporate governance from binding effects to tool effects and to valuation effects,and recommend to improve corporate moral standard and corporate governance through building ethical mechanism of corporate governance.
