摘　　要：董事会秘书一般被确定为公司的高级管理人员,在公司发挥着重要作用。在我国公司法上建立董事会秘书制度符合社会经济发展的客观需要,董事会秘书制度具有效率与安全、程序和监管三个方面的价值。The secretaries in the board of directors are regarded as senior executives, playing an important role in the company. To meet the objective needs of social economic development it is necessary to establish the secretary system in the board of directors. The secretary system in the board of directors has the value of efficiency, safety, procedure and supervision.
