摘　　要：对创业企业融资契约研究进行了梳理,分别从创业企业融资契约特征、控制权安排、融资工具选择、风险资本的作用等方面进行了阐述。这些研究基本上围绕解释现有融资契约条款展开,其核心问题是控制权的争夺。从不同视角为我国学者研究创业企业融资契约的特征和内容等相关问题提供了理论借鉴,并指出了进一步研究的思路。The design of financing contract is a key factor which influences the success of venture enterprise for the particularity of venture enterprise. Based on the analysis of literatures, the article studies the characters of venture enterprise＇s financing contract, control arrangements, respectively, the choice of financing instruments, the role of venture capital, etc. These studies basically revolve in the interpretation of the terms of existing financing contract and their core issue is the fight of control right. The purpose of this article is to provide a theoretical reference for Chinese scholars to study the characteristics and contents of venture enterprise from a different perspective, and to point out the further research ideas.
