摘 要:现代企业理论认为,解决市场失灵的方式是通过纵向一体化将要素统一到科层下治理,然而,导致市场失灵的原因同样也会导致科层失灵。通过对以合作博弈为基础的团队生产和科层治理的团队生产失灵原因的分析发现,科层能够改变信息结构和团队成员的支付函数,但是,如果科层作为所有者实现剩余最大化的工具,团队生产同样无法实现高效率,只有当科层作为企业这个微观市场的瓦尔拉斯拍卖人时,才能有效地利用信息和激发每个团队成员的积极性,实现团队生产的高效率。The modern firm theory believes that the method to solve market failures is to manage factors which are unified under hierarchies by vertical integration,while the reasons causing market failures can also lead to hierarchies failure.After analyzing team production failures based on cooperative game and hierarchies governance,we find that hierarchies can change information structure and payoff functions of team members,and improve the efficiency of team production.However,if hierarchies are only the tool of owners to maximize the residuals valuation,there is no improvement of team production efficiency also.Hierarchies can effectively use information and stimulate motivation of every member,and get a higher efficiency of team production finally,when and only when it is as the Walrasian auctioneer of firm that represents micro-market.
