摘　　要：企业并购与重组已越来越成为当今我国企业活动的一个热点但仍处在初级阶段．而当前西方企业并购行为的微观操作，包括并购过程、估价、评审等已趋于成熟，因而有不少经验值得我国企业学习和借鉴．Companies' mergers alld acquisitions have been becoming a central issue in today's enterprise behaviorsin China, though their prilctice is still in their stanng PCriod. In the Wes' enterprises' microcosmic openltiOll ofmerger and acquisition, including processes, pricing and due diligence, has reached a ripe period, and therefore,their experiences can be of significance to the enterpnscs ill China.
