摘 要:经理层治理是公司治理的核心内容之一,是公司治理与公司管理的连接纽带。农业上市公司的经理层治理能够有效地提高农业上市公司的竞争能力。借助于我国农业上市公司经理层治理的实践性数据,经验性的分析揭示我国农业上市公司经理层治理在企业竞争力改进过程中的微观路径机理,从而为我国农业上市公司加强经理层治理、提高公司的整体竞争能力提供了现实性的理论借鉴。农业上市公司经理层治理体系分为四个要素:聘任制度、执行保障、激励机制和约束机制。研究结果表明,聘任制度对我国农业上市公司竞争力的培育产生最为显著的促进功能,执行保障和约束机制产生了一定程度的促进功能,而激励机制的促进功能最弱。可见,经理层治理要素对我国农业上市公司竞争力的促进存在着差异性,因此,基于企业竞争力培育的目标,经理层治理的实施需要遵循一定的差异化策略。The manager level governance is the core content of corporate governance, and links the corporate governance and enterprise management. The manager level governance can effectively improve the enterprise competence in our agricultural listed companies. The empirical analysis may disclose the micro-path mechanism of manager level governance in the process of improving enterprise competitiveness with the help of practices governance data in our agricultural listed companies, which may provide actual theory reference for our agricultural listed companies to strengthen corporate governance and raise the overall enterprise competitiveness. The governance system may be divided into four factors: employee institution, execution mechanism, incentive mechanism and constraint mechanism. The research result finds that the employee institution has a great role to cultivate corporation competitive, execution mechanism and constraint mechanism has a certain role, and the function of incentive mechanism is weak, because the improvement function of manager governance factors has difference, its strategy should have a certain difference.
