摘　　要：本文主要在全面的分析股权分置问题的由来、股权分置改革的重大意义及其改革过程的同时,针对股权分置改革的核心问题——对价问题及其存在的问题进行探析。进而,在本人能力范围内就对价存在的问题提出了解决方案。This paper comprehensively analyzes the origin of stock sharing problem,the significance of stock sharing reform and the reform process,at the same time,discusses the core issues of stock sharing reform： consideration question and the existing problems.Furthermore,this paper puts forward the solution of the consideration question in my ability range.
