基于技术获取目标的海外并购文化风险综合评价研究

摘　　要：在企业融入全球化趋势的过程中,海外并购是我国进入国际市场、获取国外先进技术的重要方式。文化风险的管理效果直接影响到海外并购绩效水平,而对文化风险的综合评价是对其进行科学管理的基础。以企业海外并购文化风险为研究对象,借助可拓物元分析方法,构建了基于技术获取目标的海外并购文化风险的综合评价指标体系和可拓物元评价模型。通过实例验证,发现该模型可以有效评价企业海外并购所面临的文化风险。In the process that our enterprises integrate into the globalization,overseas MA is an important way to enter the international market and obtain the advance technology.The result to manage the culture risks directly affect the performance level of overseas MA,and it is the basis to management in scientific that the culture risk is comprehensively assessed.By studying the culture risk faced by the companies running MA,on the basis of extension method,this paper builds the comprehensive index system and mode of matter-element for evaluating the level of culture risk of overseas MA enterprise.Verified by an example,the model can effectively evaluate the culture risk of the overseas MA.
