摘　　要：十多年以来,国际公司治理研究呈现出新的研究态势,具体表现为:在内部治理方面,对治理特征的深入挖掘和对关系网络治理效应的细分研究;在外部治理方面,对法律环境和政治联系治理机理的持续关注;公司治理评价体系得到动态优化与调整;研究对象特别关注新兴市场和转型经济体;国际金融危机背景下对金融机构及其治理风险的研究方兴未艾等。本文对上述国际研究趋势进行了探索性的综述。同时,对国内公司治理的相关研究从内部治理、外部治理、治理评价、拓展研究等视角进行了梳理,并提炼和总结出中国式公司治理从行政型治理到经济型治理的研究主线和分析框架,以期揭示复杂背景下中国公司治理的演进逻辑与研究方向。International studies of corporate governance have presented some new trends during the last ten years.This essay identifies and provides an overview on some key issues for these new trends：studies on the internal governance mainly focus on the depth characteristics of governance and the subtle governance effects of relational network;legal environment and political connections are always treated as hot topics as for the external governance studies;corporate governance evaluation has been dynamically optimized and adjusted;emerging markets and transition economies have attracted more and more attention;and researches on the financial institutions and their governance risk have developed fast under the circumstance of financial crisis.Meanwhile,this essay reviews some domestic studies from perspectives of internal governance,external governance,governance evaluation and extended studies.This paper makes a contribution to corporate governance studies by extracting and summarizing the main line and conceptual framework for China＇s mode based on the transition process from administrative governance to economic governance,with an intention to discover the evolution logic and future research directions for corporate governance in China in a complex context.
