摘 要:我国对管理者行为的约束机制存在约束主体不明确、缺乏有效的监督制衡机制、外部市场不完善、法律法规不健全和约束缺乏长期性等问题。因此,可以借鉴美国、新加坡两国对管理者的约束机制,结合我国实际来明确约束主体,完善辅助约束机构,发挥股东大会、董事会、监事会的作用,加强监督制衡机制,健全管理者市场环境,完善法律法规,建立对管理者的无限责任制。Behavior-restricting mechanism of business manager in China has problems as follows: the subject has not been clearly defined;efficient supervision and balance mechanism needs to be established;the external market is imperfect;relevant laws and regulations should be enriched;the restricting can not keep long-lasting.It is necessary to refer to the present mechanisms in U.S and Singapore so as to perfect the restricting sub-institution,make full use of the general meeting of shareholders and boards of directors and supervisors,strengthen the supervision and balance mechanism,better the marketing environment for managers,enrich relevant laws and regulations,and establish unlimited liability system of manager.
