摘 要:公司雇员、高管携带公司商业秘密跳槽或自营竞争性业务,已成为商业秘密侵权的多发现象,在诸多防控措施中,竞业禁止是一项行之有效的法律制度,但在保护商业秘密的同时亦有限制员工劳动权利、妨碍人才流动之嫌;因竞业禁止引起劳动者择业权与商业秘密保护之间的矛盾,其症结并不是制度缺陷,而在于该制度的合理释义。竞业禁止是一把"双刃剑",在有效保护用人单位商业秘密的同时,可能妨碍甚至限制公民劳动权的实现。在人才趋利流动的现实状况下,法理上本该各自独立、并行不悖的劳动权与商业秘密权冲突凸显,要实现两者间的平衡,关键在于科学把握竞业禁止的诠释基点,对竞业禁止制度进行合理释义。Taking away company business secrets, company employees, executives change their job or run self business, which has become a frequent happened infringement of business secret. In many control measures, non-competition is an effective legal rule, but when it protects the business secrets, it also somewhat restricts the labor rights of employees and the flow of talents. Nonompetition has resulted in the conflict between the right of choosing occupation and the business secret protection. But the crux of the problem is not the rule itself, but rather a reasonable interpretation of the ride. Non-competition is a "double-edge sword". While it protects the business secret of employer, it might impede or even restrict citizen's fight to work. In view of the fact that talents tend to seek benefits, the right of choosing occupation and business secret protection, which ought to be independent and not be mutually exclusive, come into conflict each other. To realize the balance between them, it is vital to scientifically grasp the basic point of interpreting non-competition, and give reasonable interpretation to the non-competition system.
