摘　　要：从产业层面对美国科技产业集群搜集资料分析创新聚集的行业特点和地域特点;从企业层面分析公司创业和管理层治理结构对于内部创新的重要性。提出了尽管中小企业在技术创新、产品创新中的作用日益重要,但更需重视大企业内部公司创业和技术创新的孕育。Silicon Valley nearly represents the congregation of innovation and entrepreneurship.The paper analyzes the important academic subject in formation of innovation clusters.The first part mainly investigates US innovation in science-based industry clusters.Then corporate entrepreneurship becomes the key factor of innovation in corporate governance structure.At last,revaluation of large firms＇ technique innovation and governance structure is the main conclusion.
