摘　　要：跨国并购被认为是后发工业化国家的企业提高其技术能力的有效捷径,越来越多的中国企业也在尝试利用跨国并购方式获得技术来源,提高技术能力。研究了大连机床集团2002年、2003年、2004年并购美国英格索尔生产系统公司、美国英格索尔曲轴加工系统公司、德国兹默曼公司三家国际知名机床生产企业的案例,认为并购企业只有通过有效的并购后整合,建立双方长期互动的技术学习和知识分享机制,才能促进企业整体技术能力的提升。Cross-border MA is an effective way for companies of industrializing countries to upgrade the technological capabilities.More and more Chinese companies endeavor to acquire technology and upgrade technological capabilities by Cross-border MA.By looking into the case of DMTG,who acquired two divisions from Ingersoll International,USA——″Ingersoll Production Systems″ and ″Ingersoll CM Systems″ in 2002 and in 2003,and became the main shareholder of F.Zimmermann GmbH,Germany,in 2004,this paper concludes that the company can improve the overall technological capabilities by effective post integration and establishment of mutual technological learning and knowledge sharing mechanism.
