摘　　要：企业投资决策是现代财务管理三大内容之一,对企业投资决策的研究主要集中企业视角和管理者视角两个层面。管理者视角研究投资决策是当今研究的热点问题,本文在梳理国内外董事会行为与特征的研究的重要文献,提出了董事会行为视角研究企业投资决策与绩效,并构建了董事会行为对企业投资决策与绩效的作用机理模型,这对进一步深入研究企业投资决策具有重要的理论与现实意义。Corporate investment decisions is one of three major elements of modern financial management, investment decisions of the enterprise business perspective and managers focused on two aspects of view. Managers Perspective of investment decision-making is a hot issue today, this sort at home and abroad in the behavior and characteristics of the board an important document, presented the board perspective behavior and performance of business investment decisions, and build a board of directors on corporate investment decisions and behavior The mechanism of model performance, which further research enterprise investment decisions has important theoretical and practical significance.
