摘　　要：董事会结构是影响董事会效率与独立性的关键因素,是解决早期公司治理失效问题的重点,文章利用委托代理理论与博弈论,在充分考虑企业战略形态、外部董事对董事会结构影响的前提下,构建企业董事会最优结构模型,探讨最优董事会结构与董事治理效率的相互作用机制,进一步完善现行的董事会治理机制,为完善企业董事会建设和改善董事会治理效率提供一定的理论参考。Board structure is an important factor of board governance and the focus to solve the problem of corporate governance. This paper uses Principal-agent Theory and Game Theory to construct the optimal corporate board structure model and do researeh on the interaction mechanism between the optimal board structure and efficiency of board governance, according to corporate strategy and recognition of outside director. Then, the paper consummates the mechanism of corporate governance, and raises some policy for the construction of the board and improving the efficiency of board governance.
