摘  要:竞业禁止是保护商业秘密有效手段,但不是唯一手段。竞业禁止目的是保护特定人员的竞争利益与商业秘密。考量竞业禁止法益,应正确把握竞业禁止协议之性质,区别与认定保密合同与竞业禁止协议之关系,合法合理地发挥竞业禁止协议之功能,既要保护劳动者的自由择业权,又要维护企业的合法商业权益,平衡劳动者、用人单位和社会三者利益关系,筑造经济发展和谐环境,维护人才的良性循环。Non-competition agreements post the termination of employment relationship is an impor- tant instrument to safeguard commercial secrets, but it is not the only instrument. The non-competition agreements post the termination of employment relationship aims at protecting the competition benefits and commercial secrets of special partners. In consideration of the legal right and obligation of making non-competition agreements post the termination of employment relationship, it is paramount to grasp the nature of non-competition agreement, differentiate between confidential contract and the non-competition agreement and to authenticate both the confidential contract and non-competition agreement to fully execute the legal function of the non-competition agreement post the termination of employment relationship. The goal of the non-competition agreements is to protect both the right of the employees in choosing freely their own occupations and the legal right of the employer in protecting commercial secrets and benefits to coordinate the relationship among the employees, the employer and the society to build a harmonious environment for economical development and maintain a favourable circulation of the talented people.
