摘　　要：有效的企业社会责任(CSR)治理是推动企业履行社会责任的关键,然而,CSR治理机制设计是一项复杂的系统性工作。本文基于系统性思维的方法,旨在构建由内部治理机制、外部治理机制、协调机制、动力机制和信息机制等五部分所组成的CSR综合治理框架。首先,从治理主体和治理形式两个维度,设计包括内外部正式与非正式治理的CSR基本治理机制;其次,从推动与协调这两个治理机制的基本任务出发,分析CSR治理中的动力机制和协调机制;最后,从信号发送、信息甑别和责任信息网络建设三个方面,构建CSR治理中的信息机制,为CSR治理提供信息基础。The effective governance of corporate social responsibility （CSR） is critical to promote corporate to fulfill social responsibility. However, the design of this mechanism is a complex systematic work. This paper develops a CSR integrated framework of governance mechanism on the basis of system thinking approach, which consists of the internal governance mechanism, external governance mechanism, coordination mechanism, driving mechanism and information system. In order to construct this framework, firstly, it designs the basic CSR governance mechanism which consists of formal and informal governance from the perspectives of governance body and form. Secondly, to analyze the driving mechanism and coordination mechanism in order to achieve the promotion and coordination that are two basic tasks in CSR governance. Finally, to construct the information system that is composed of signaling mechanism, screening mechanism and CSIR information network, which provides the information foundation of the integrated framework.
