摘　　要：在上市公司治理中建立独立董事制度可以说是我国证券市场制度创新中争议最大的一项制度。本文通过对我国独立董事制度建设的历史回顾,就独立董事定位及其独立性、有效性进行了反思和探讨,剖析了质疑独立董事制度的各种观点,提出要正确认识独立董事的使命及其属性,探索建立适合中国国情的独立董事制度。Independent Director＇s system, introduced in the governance of listed companies, is one of the most controversial rules in China Securities Market System. By reviewing the construction history of independent director＇s system in China, the author studied on the position, independence and validity of Independent Director. The paper analyzed the argumentative points about the system. In the point of the author, he proposed to recognize the mission and nature of independent director correctly, and then according to the national condition, set up suitable independent director＇s system for China.
