摘　　要：本文通过对2006～2007年119家绝对控股国有上市公司的董事会规模、管理层董事比例、独立董事比例、董事会会议等董事会特征与每股收益、净资产收益率之间关系的实证分析,并在此基础上提出了增强董事会效率的若干建议。Through the empirical analysis of the relation between board characteristics such as board of directors scale,management directors proportion,independent director proportion,the board of directors conference and Earnings per share,returns on net assets of the 119 the state-owned listed companies in 2006-2007.and based on this,put forward proposals of enhancement efficiency of the board of directors.
