摘　　要：中小企业公司治理在不同的发展阶段面临不同的问题。在创业和生存阶段,主要是企业主与其他融资主体之间的利益关系模糊问题;在摆脱束缚成功发展阶段,主要是在位的决策者与引进外部管理者之间的利益权衡问题;在起飞阶段和成熟阶段主要是逐步建立规范的公司治理结构,处理好大股东与小股东之间的利益冲突问题。SMEs confront with different problems at their different development stages in corporate-governance.At the stage of existence and survival,the central issue of corporate-governance is the confused ideas of enterprisers and financiers for their interests.At the stage of success-disengagement and success-growth,the principal contradiction is the interest balance between reigning decision maker and external managers introduced.At the stage of take-off and resource maturity,the essential of corporate-governance is to set up normal corporate-governance structure gradually and to settle interests disputes between big stockholders and small stockholders.
