摘　　要：企业联合与兼并的外部条件是资本市场的存在,资本市场为企业提供兼并的规则、交易资金及对象,利用国际资本市场,外贸企业就有较优越的条件;外贸企业开展兼并业务的内部条件是企业改制,明确产权关系和规范资产结构。The external conditions merger of enterprises is the existence of capital market .It provides the regulation,capital and subjects.Taking the advantage of international capital market,the internal conditions of the merger is the inform of enterprises' system,the identification of industrial rights and the regulation of capital structure.
