摘　　要：随着经济全球化的发展,世界各地对跨国公司的发展越来越重视。如今,跨国公司对华直接投资有力地促进了中国经济的发展,但同时也产生了诸多不利影响。本文通过分析跨国公司与我国之间的关系,认为跨国公司与我国政府作为理性的行为主体,其行为都是为了实现自身的利益最大化,然而,由于政府与跨国公司之间的博弈,使本来可以双赢的结果变得不尽如人意。本文试图通过建立一个模型来解决这一问题,从而为我国政府做出相关决策提供理论支持。With the development of economic globalization, TNCs （transnational companies） are considered as an important part of economy by more and more countries. Nowadays, direct investment to China from TNCs has promoted the rapid development of our country＇s economy which brought on severe problems in the mean time. The author analyzes the relationship between TNCs and China, and considers that they try their best to maximize their values. The result can not meet their satisfactory because of the games between the government and TNCs. The author realizes a game model to settle this problem. The model will be made to support decision for our government.
