摘　　要：探讨国外董事会及其董事评价的经验与启示将有助于我国企业更好地推行董事会及其董事评价工作。我国的董事会及其董事评价工作应在借鉴国外经验的同时,结合我国的法律、法规、制度以及我国公司治理的实际状况,系统全面地建立健全具有中国特色的董事会及其董事评价体系。The board of directors is the core of the corporate governance. Scientific evaluation to the board and its directors has a guiding role in the improvement of corporate governance system. The evaluation of corporate governance originated in the evaluation of the board and its directors in foreign companies. Exploring the experience and enlightenment of the evaluation of the board and its directors in foreign companies could help Chinese businesses better implement the evaluation of the board and its directors. We can not completely copy the foreign experiences. We should establish the evaluation system with Chinese characteristics of the board and its directors, and at the same time combined with China＇s laws, regulations, system and other environmental factors as well as the actual situation of Chinese corporate governance while learning from foreign experience.
