摘  要:外部董事制度的实施在完善国有企业法人治理结构,推动国有企业改革方面无疑是具有里程牌的作用。文章通过对上海市试点外部董事考核评价现状的调研分析,认为外部董事评价体系中评价内容、评价主体和方法以及评价结果运用方面都有值得改进的地方。提出评价内容要体现岗位要求和可操作性的特点,要确保评价主体多元化,并就如何提高评价结果的有效性提出了对策。The implementation of outside directors system acts as a milestone role in improving the corporate governance structure of state-owned enterprises and promoting the reform of state-owned enterprises.By the investigation and analysis of the status quo of Shanghai state-owned enterprise outside directors evaluation, the paper finds that there should be some improvement in the outside directors evaluation system, including the evaluation content, the evaluation subject, the evaluation methods, and the use of the evaluation results.It proposes that the evaluation content should reflect the job requirements and the operational characteristics, and the diversity of the evaluation subject should be ensured.Finally, the countermeasures of enhancing the validity of evaluation results is proposed.
