摘 要:我国钢铁企业的并购起步较早,积累了一些重组整合的成功经验。不过,近年来国内钢铁企业的并购动机出现变化,在很大程度上是为了应对产业政策,以获得"产能指标"。国内领先企业大举收购本该要淘汰的产能,地方企业通过合并提高规模,目的都是要新上项目,并未开展实质性的重组整合。"十二五"期间应结合淘汰落后、技术改造和优化布局,积极引导我国钢铁企业开展实质性并购重组。The merger and reorganization of steel enterprises in China started early, and has accumulated some successful experiences about it. However, recent years, steel enterprises' purpose of merger and reorganization has changed a lot. To great extent, they are aimed to industrial policies and try to obtain the productivity index. Many leading enterprises in China, buy the enterprises' productivity that should have been weed out. Local enterprises enhance scale by merger to realize the purpose of new programs, and true merger and reorganization has not be truly carried out. During the 12th five year plan time, government should guide Chinese steel enterprises to carry out true merger and reconstruction, combined with weeding out the last, and technological transformation and optimizing distribution.
