摘　　要：考察了资产专用性和交易依赖性这两个交易特征对契约治理的影响,分析了产业环境和制度环境对交易特征与契约治理关系的调节作用。基于113家供应商的问卷调查,实证分析结果显示,资产专用性对契约治理存在明显的正向影响;产业环境不确定性正向地调节资产专用性与契约执行严格性的关系,而制度环境不完善性则能够正向调节资产专用性与契约条款复杂性的关系。This paper examines the impacts of asset specificity and transactional dependence on the level of contractual governance and analyzes the moderating effects of industrial and institutional environment on the relationship between transactional characteristics and contractual governance. Using data from a sample of 113 suppliers, we find that ： the level of contractual governance is significantly positively associated with asset specificity; uncertainty in industrial environment positively moderates the relationship between asset specificity and contract enforcement strictness, while incomplete institutional environment will strengthen the relationship between asset specificity and contract complexity.
