摘　　要：现有的公司治理理论不能很好地对时代变迁与企业形式的发展作出响应,从而使得对新问题应对乏力且争论不断。通过选取权力的视角,定义公司权力及其"泛资源"逻辑,构造了一个公司权力的理论模型。通过该模型能更好地界定公司治理边界、引入权力结构稳定性的研究、实现股东至上与利益相关者的协同,拓宽公司治理的研究视野。有助于理解公司治理并实现对现有理论的整合与优化。Existing corporate governance theories lag behind the changes in realities and the development of corporate organization. As a result, they are unable to explain many of new problems and give rise to many disputes in the academic circle. This paper attempts to define corporate power and the logic of pan resources from the perspective of power. It puts forward an ＂0-SEA＂ power model which could better define the boundary of corporate governance, introduce stability research, accommodate dispute between shareholders and stakeholders, and expand the corporate govemance research field. All this can facilitate the integration and optimization of existing corporate governance theories.
