摘　　要：从实证的角度结合相关理论和已有的研究成果,分析中国上市公司董事会的特征(董事会持股比例,董事会的规模,董事会人员构成,董事会领导结构)对管理层舞弊的影响,并得出相关的结论,进而为中国上市公司董事会监督管理职能的有效发挥,有效的遏制管理层舞弊的发生乃至公司治理机制建设提供思路。This article combines empirical studies and theoretical researches,analyzes the impact of characteristics of the board of directors of listed companies（ownership of board,board size,composition of the Board,Board Leadership） on the management fraud,and obtains appropriate conclusions,provides implications to make the board of directors of listed companies play an effective supervision and management functions,effective management of fraud to curb the occurrence of the construction management system in China.
