摘　　要：合同是国际商务交流与合作中不可或缺的重要工具。鉴于当前英汉合同互译中存在过分拘泥源语表达形式的弊端,合同文本的语言功能应当以内容为重,合同翻译亦要在译文中通过专业化的语体准确传递有关当事人权利与义务的信息,通过借鉴英文合同范本及与合同起草密切相关的英汉民事法律文件,以平行文本映射为手段从语义和句法两个方面避免歧义。The contract is an instrument to promote international commercial exchange and cooperation. With an examination of the over-literalist inclination in the translation of contracts, this article argues that the contractual text should be content-oriented and that the translator of contracts should accurately transfer the information concerning related parties＇ rights and duties. Following English contract models and related civil laws closely related to contract drafting, the translator should avoid semantic and syntactical ambiguity by means of parallel texts.
