建设工程施工合同中工程款结算“视为认可”条款研究

摘　　要：工程款结算中视为认可条款在最高法院《关于审理建设工程施工合同纠纷案件适用法律问题的解释》中有所规定,但在司法实践中却颇具争议。视为认可是将沉默推定为意思表示,通过程序公平来促进实体公平,它并非显失公平。具体适用这一条款时必须有明确、唯一、有效的约定,施工合同无效后"参照合同支付工程款"不包括参照合同中的视为认可条款。结算文件的完整性及提交时间不影响该条款适用,但补充提交结算文件会因补充时间的不同而有所差异;答复内容的实质性及答复形式不影响终结该条款的效果。Implied terms on the project payment settlement have been prescribed in the Supreme Court＇s ＂Judicial Interpretation of Law Terms Applicable in the Hearing of Construction Contract Disputes＂, but there are enormous controversies in judicial practice. The nature of implied terms is to regard silence as an intention expressed, which doesn＇t mean unfairness, but to achieve entity fairness by procedural justice. When such terms are implied, there must be clear, exclusive and effective conventions. After the construction contract is null and void, ＂to pay for projects according to the contract＂ does not include reference to the implied terms. The integrity of the settlement documents and submitting time do not affect the application of these terms, but the consequences of submitting supplementary settlement documents will vary due to different supplemen- tary time. The substance of reply and its forms do not affect the termination of the implied terms.
