摘 要:为设立出让建设用地使用权,当事人需分别达成债权合意和物权合意。两个合意应当分别体现为两份合同文件,以便于适用不同的规则。但围绕建设用地使用权出让合同的纠纷有诸多混乱的认识和做法。现行示范文本杂糅了债权合同、物权契约和法律与法定职责的复述三类性质的条款,是造成认识混乱的根源。故需按其性质进行分别处理,以实现示范文本功能明确、结构清晰、操作便捷。To further clarify the legal character of the Assignment Contract for Land-use Right of Construction, and fundamentally solve the long confusing understanding on dispute resolution, rule application and responsibility allocation of the assignment contract for land-use right, this paper begins with the analysis of rule of property alteration of the civil law system, along with the inspection of the whole process of the assignment of land-use right of construction, then proceeds to present a-specific suggestion for structural modification of the Standard Contract, believing that many conflicts existing in the China's land.use right system could see an opportunity for resolution.
