摘　　要：近年来,公众小额集资在美国发展较为迅速。本文分析了公众小额集资模式的内涵及其产生的原因,介绍了美国公众小额集资的发展现状和其存在的问题,对美国JOBS法案有关公众小额集资的内容进行解读。在借鉴美国经验基础上,文章提出,在保护投资者利益的基础上,我国可以试点发展公众小额集资这一模式。In recent years, crowdfunding is developing rapidly in the U.S. This paper describes the connotations and causes of crowdfunding, as well as introduces the development and problems of crowdfunding in the U.S. After interpreting the contents related to crowdfunding in JOBS Act, the author analyzes its inspiration and reference to the development of China＇s crowdfunding on bases of the investor protection.
