摘　　要：本文系统回顾了融资约束下并购绩效、规模与方向的作用最新研究成果。探讨了变量间的逻辑关系,梳理了该领域的文献脉络,并对主要发现和结论进行了总结和评论。研究发现,融资约束、并购规模、并购方向及其绩效有影响关系,但是存在研究空白和诸多争议。结合中国产业升级整合实践,指出了未来的研究方向。The paper systematically reviews the latest research results that financial constraints affect M＆A performance：the role of M＆A scale and direction. It explores the logic relationship among variables, combed the research in this field, summarizes and comments the main findings. The study finds that it exist relation among financial constraints, M＆A and performance, but there are research gaps and many disputes. Combined with the practice of Chinese industry integration and upgrade, the study considers theory development directions.
