摘  要:战略联盟与兼并收购 (简称并购 )是企业谋求竞争优势的两种外部发展战略。两者既有共同的地方又有着根本的区别。本文从定义、外部环境、内部动机、绩效等多方面对两者进行综合比较分析 ,认为企业应从自己的实际情况出发慎重选择自己的发展战略。目前 ,中国企业的关键问题是要调整结构 ,淘汰效益差的落后企业 ,因此目前中国企业以多采用兼并收购方式为宜。Strategic Alliances and Merger & Acquisition (M & A) are two external developing strategies by which enterprises strive for their competitive superiority. They have both similarities and essential differences. From a synthetic and comparative angle this paper analyses their defination, external environment, internal motivation, efficacy and achievements, etc .It offers an opinion that an enterprise must carefully choose its developing strategy according to its own reality. At present, the problem of Chinese enterprises is to adjust economic structure and eliminate those enterprises with lower profits. So Chinese enterprises should adopt more M&A than strategic alliances.
