摘　　要：我国商事法律脱胎于计划经济活动与政策性指令,所以,从体系构建到制度设计等方面尚存诸多不完美之处,由此导致的商人与民事主体的关系在立法、司法处理上缺乏必要的协调。近几年,学界对商法通则的创设呼声不断。对商法通则应然品性的追求与理论完善才是实现立法者愿望之要旨。The commercial law of our country grew out of planned economy activities and policy directives, so there are still many imperfections in the law from the structure construction to system design, which results in the lack of necessary coordination in legislative and judicial handling of the relationships between businessmen and civil subjects. In recent years, law scholars have kept appealing for establishing general rules of commercial law. The seeking of should-be character of the general principles of the commercial law and the theoretical perfection are the gist legislators wish for.
