摘　　要：中小企业设立过程中存在一定法律风险,主要表现为发起人不具有相应的法律资格、实际出资不足、制定的公司章程不严密及发起人隐名投资等。其产生的原因包括:投资者文化素质较低、法律意识淡薄、资金短缺、融资困难等。提高投资者风险意识、拓宽中小企业融资渠道、抓好风险防范和控制重点、建立投资人法律问题咨询和学习机制以及充分利用社会中介机构提供预警信息等可以有效加强中小企业设立过程中法律风险的防范工作。There are certain legal risks in the process of establishing small and medium-sized enterprises （SME）. The major problems are the lack of promoters＇corresponding legal qualifications, insufficient actual invest- ment, imprecise articles of association, and promoters＇ anonymous investment. The reasons include several parts： low education and weak legal consciousness of investors, shortage of fund, and financing difficulties. To solve these problems, strategies and countermeasures are suggested in the following five ways： to improve investors＇risk aware- ness, to broaden the financing channels for SMEs, to strengthen risk prevention and control key problems, to estab- lish a legal consulting and learning mechanism for investors, as well as to make full use of the social intermediary organizations to provide early warning information.
