公司法视野下的土地承包经营权入股研究

摘　　要：尽管入股被现行法律与政策认可为土地承包经营权流转的方式之一,但其指向的主要是农业合作社与股份合作制企业,立法对土地承包经营权入股商事公司尚未有明确规制。基于风险控制的考虑,土地承包经营权入股的组织形式现阶段应限制为有限责任公司。本文探讨了土地承包经营权入股与公司法律制度的冲突,从破解相关法律障碍、保护农户股东权益角度提出了相应的法律对策。Although share participation is recognized as one of land circulation ways of land contractual management rights by current laws and policies, it is mainly directed to agricultural cooperatives and share cooperative enterprises and there is not yet a clear legislative regulation on share participation of the land contractual management right in the commercial company. Based on the consideration of risk control, the organization form of land contractual management right should be qualified by the limited liability corporation currently. This paper discusses the conflicts of laws between share participation of land contractual management right and corporation regulations. Furthermore, we propose the corresponding legal countermeasures, which are oriented to break legal barriers and protect rural shareholder equities.
