摘　　要：海外投资壁垒是"十二五"期间我国实施更加积极主动的对外开放战略、推动对外直接投资面临的关键问题。本文在分析我国企业遭遇海外投资壁垒现状的基础上构建了一个东道国与企业的利益博弈模型,对海外投资壁垒产生的原因、严厉程度以及企业强化利益分享对东道国设置投资壁垒的影响进行研究。最后,本文结合博弈模型的相关结论,就我国企业如何应对海外投资壁垒提出政策建议。In the period of'12thFive-Year',investment barries will become the key problem of the implementtation of more proactive opening strategy and promotion of outward foreign direct investment. Based on the analysis of current situation of investment barriers that faces China's enterprises,the paper builds an interests game model between the host country and the oversea-investment enterprises,researching the reason,severity and coping stratergy of the investment barriers. Finally,according to the model,it anlyses the reason why China's enterprises meet investment barriers so frequently and gives the suggestions on how to cope with.
