摘　　要：对我国保险公司治理的现状进行了分析，认为我国保险公司治理还存在很多问题和有待完善之处．基于我国保险公司治理中存在的问题和保险公司的特殊性，认为完善我国保险公司治理首先要构建适合我国国情的公司治理模式。文中构建两种治理结构可供选择．This paper analyzes the present situation of corporate governance of insurance companies in China, points out that our insurance company management still exists many problems and deficiencies. Be based on the problems existing in insurance company governance and the specific characteristics of insurance companies, it states that to improve the corporate governance of insurance companies in China, first of all, is to build our country＇s corporate governance model, and there are two governance structures can be selected.
