股东派生诉讼中的担保问题研究

摘　　要：我国一直以来都重视维护股东诉讼的权利,但当股东滥用股东诉权时,将会给公司造成损失。美国的股东诉讼担保制度可以遏制股东滥用诉权的行为,对我国具有借鉴意义。我国可以根据自身的实践情况,完善我国的股东诉讼担保制度。China always attaches great importance to the protection of the rights of shareholders litigation, but shareholders abuse of litigation will cause a loss to the company . The United States shareholder litigation guarantee system can prevent shareholders from abusing litigious right and our country can learn from it. We can improve our shareholder litigation guarantee system according to our own practice.
