摘 要:以两家中国企业通过跨国并购成功实现技术创新的典型事件作为案例,运用多案例研究方法,探究了基于并购的动态能力在创造性资产寻求型跨国并购过程中对企业技术创新的作用,建立了基于并购的动态能力对企业技术创新的作用机制模型。研究结果显示:并购选择能力通过驱动跨国并购的开展而构建技术创新的起点;并购识别能力通过识别技术资产并促进并购实施而奠定技术创新的基础;并购重构能力通过重构创造性资产而保障技术创新目标的实现。指出:基于并购的动态能力从3个维度作用于跨国并购的全过程,而目标企业的创造性资产是基于并购的动态能力对企业技术创新发挥作用的受力点。Taking two typical events that China's enterprises achieve technological innovation through cross-border M^A as the case example, this paper uses the multiple cases methodology to explore the effects of acquisition-based dynamic capability on enterprise's technological innova- tion in the process of created-assets seeking cross-border M^A,and establishes a model to illustrate the effect mechanism of acquisition-based dynamic capability on technological innovation. The result shows as follows., acquisition selection capability builds up the starting point of techno- logical innovation through driving latecomer firms to take cross-border M^A strategy;acquisition identification capability lays the foundation of technological innovation through identifying technology assets and promoting the implementation of cross-border M^Alacquisition reconfigura tion capability realizes technology innovation goals through re-structuring created-assets. Accordingly,it points out that acquisition-based dynam- ic capability plays a important role throughout the entire process of cross-border M^A, and the created-assets of target enterprise is working point of this function.
