摘　　要：由于工程建设的复杂性，工程变更与索赔处理是工程建设中经常发生的事情。工程变更与索赔事件发生后，首先要依据合同条件分析工程变更与索赔的成立条件及责任划分。但是，一方面，由于某些合同条款存在瑕疵或不完善，另一方面，由于当事人对合同条款理解的立场和观点不同，导致合同双方对某些工程变更与索赔的处理存在较大争议。争议焦点往往在于对合同条款的理解。Because of the complexity of the engineering construction, engineering change and claim processing is often occurs in the engineering construction. Engineering change and claim after the incident, first according to the conditions of engineering change and claim the contract condi- tions and division of responsibility. However, on the one hand, because some of the terms of the contract are defective or inadequate, on the other hand,due to the position on the terms of the contract and understand the different point of view, leading to more controversial parties on some engineering changes and claims. The focus of controversy often lies in the understanding of the terms.
