中国企业购并中存在的问题与对策建议

摘　　要：建立现代企业制度是社会主义市场机制改革的目标 ,其精髓就是让企业成为自主经营、自负盈亏、自我发展、自我约束的市场主体。于是 ,就出现了企业购并这一优胜劣汰机制下的产物。事实上 ,企业并购已在西方各国现代经济发展中发挥着重要的作用 ,正日益成为中国深化改革、调整经济结构的重要举措。但是 ,我国企业购并尚属新生事物 ,仍然存在着不少问题。本文针对这些问题提出相应的解决策略 。Establishing modern enterprise system is one of the important goals of socialism market mechanism reform,whose core is to make enterprises the market body of self management,self handling gain and loss ,self discipline,self development.So it comes out cooporate M & AS as the result of this survival of this fittest mechanism.Virtually,cooporate M & AS has plays an important role in the modern economic development in western countries and it is gradually becoming a majoy method to develop enterprise reform and to adjust economical construction.But cooporate M & AS is something new in china,there are many problem with it,the thesis puts forward relatove strategies for these questions specially,in order to do something for cooporating M & AS of our country.
