摘　　要：本主旨在对并购准备与设计阶段企业所面临的风险进行分析，并提出相应的防范措施，以期为企业提供有价值的参考。The paper analyses the enterprises facing the risks at the annexing and purchasing seedtime and designing stage. The paper also puts forward the relevant keeping away the risks measures and expecting to provide valuable references for the enterprises.
