摘　　要：通过企业并购重组来摆脱国有企业困境 ,提高国企经济效益是深化国有企业改革的重要途径。但企业并购重组有可能导致银行资产大量损失。因此 ,在企业并购重组过程中要高度重视银行债权保全 ,对银行负债进行重新整合。这样即使通过企业并购重组不能彻底解决银行不良资产存量 ,但对银行不良资产的增量发生会有积极抑制意义。It's an important way for the state-owned enterprise reform to furtherly through enterprise merging. It can solve the dilemma and deficit question of state-owned enterprise. But enterprise merging may cause the bank's great asset losses . When the enterprise is merged, we want to protect assets of the bank and avoid its losses. In my opioin, if we want to fundamentally solve the bad assets of the bank , it is a good method for us to go through enterprise merging, The enterprise will annex again to restructure the bank debt,it may have a positive controlling effect on the increase of the bad assets of the bank.
