摘　　要：企业关键性资源决定企业治理结构的具体状况 ,是企业治理结构选择的主要依据。企业关键性资源的转换要求选择相应的企业治理结构以保证关键性资源所有者在企业治理结构中的主导地位。从而激发关键性资源所有者积累、改善和有效运用关键性资源的积极性 ,促进企业竞争力的提高。This paper holds that the specific connotation of corporate competitive power changes in pace with the change of the dominant needs of customers in different market conditions.accordingly,the key resources underlying the corporate competitive power are also different.The key resources in the corporation determines the corporate specific governing structure.The change of the key resources asks for suitable governing structure in order to guarantee the dominant position of the owners of key resources in the governing structure,stimulating their enthusiasm about accumulating improving and using the key resources effectively.
