摘　　要：国有企业公司制改造中以租赁方式处置原划拨土地 ,在设置承租土地使用权时必须保障有关各方的利益 ,要注意产权设定中的利益协调性、产权变动中的利益平衡性、租金制订的科学性、租金优惠的规范性 .The assigned land must be disposed and can be rented when state-owned enterprise is reformed to company.The benefit of the relative respects must be protected in setting up lease land use rights.The emphases would be placed on the following:coordination of profits during rights founded, equilibrium of profits during rights modified, scientism in working out the rent,regularity in lightening the rent.
