摘　　要：跨国并购日益成为企业国际化的主要方式。作为一种特殊的筹资方式,跨国并购有其自身的优缺点。跨国并购过程中要注意选择好目标企业、避免控制权的丧失和加强并购后的组织管理等三个方面的问题。Multinational mergers and acquisitions have increasingly become the main method of the enterprises internationalization. As a special financing method, multinational mergers and acquisitions have their own advantages and disadvantages. In the course of multinational mergers and acquisitions, special attention should be paid to three aspects: choosing proper targets, avoiding the loss of managing power and strengthening the management.
