摘　　要：企业并购既有高回报 ,又存在着高风险。我国企业并购也形成了一个浪潮 ,透过实践了解到大量并购企业落入陷阱不能自拔的事实 ,提出了企业应强化并购前的可行性研究 ,以防范并购风险。To research on the Mergers & Acquisitions(M&A) of enterprises is of great significance in China's economic development, and it helps perfecting for the enterprises the systems of property rights and market economy. The risks doing M & A of enterprises are explained and to avoid their risks it is emphasized to research the feasibility of M&A. Steps of the feasibility research are detailed. The theoretical and practical basis for the M & A is analyzed.
