摘　　要：优先股是一种重要的股权形式。但一般人仅将其看作是一种收益凭证 ,却不了解它仍具有重要的产权凭证的特性。优先股作为产权凭证 ,可以使优先股股东在不放弃所有权的情况下 ,获取稳定合理的收益 ,代价则是放弃部分投票权。这对完善国有企业的产权监督具有借鉴意义。此外 ,通过优先股设置 ,可以较合理地为国有股定价 ,并实现国有股流通 ,从而为国有企业产权改革寻找到一种新的方式。The preference stock is an important form of stock rights,but people only consider it as an income credential,and do not understand it has important specialty of property rights.The preference stock has the credential of property rights which can bring constant and sensible income on understanding that preference shareholders dont abandon the ownership,but the expense is to abandon parts of vote.This has the important sense for consummating monitoring of property rights for state owned enterprises.Besides we should price state owned stock in reason and carry out the object that state owned stock should circulate through setting up preference stock,and we will seek a new modality for the reform of state owned enterprises.
